The second order in 1993–94 was for 19 former Penn Central units rebuilt by Conrail, which are classified as GP40PH-2B. Metro-North ordered a single GP40PH-2 unit, numbered 4906. It was rebuilt by Conrail in 1992 and is classified as a GP40PH-2M.

GP40PH/PH-2/PH-2B Rebuild. Throughout the late eighties, NJ Transit began a rebuild program focusing on their ex-CNJ GP40PH’s. These upgrades included upgraded electronics to dash 2 standards, the addition of a diesel head end power generator, powered by Caterpillar, and a complete rebuild from the frame to the roof.

The long hoods on all of NJT's geeps were modified to add the HEP generator. Originally the front ends were flat, they now have a wedge shape to them.
